Once you get in front of angel investors, you'll have very little time to make a good impression. You'll need to be prepared by doing your homework in advance. You won't want investor's enthusiasm to wane. You'll need (at a minimum) your presentation / pitch, financial projections, to be ready to communicate the essence of your business and answer probing questions. Your corporate documents need to be in good shape, all cleaned-up and ready to give to prospective investors during the "due diligence process". Lastly, you should have a good command of the convertible note agreements that are being used as common instruments for funding, including crafting reasonable terms that are a win-win for both you and investors.  If you have a drafted convertible note ready to give investors, all the better for negotiations.

  1. We'll review your key corporate documents, looking for pitfalls and obvious mistakes and "clean up" issues.  This is essential "due diligence" material that investors will ask for.

  2. We'll review your "Cap Table" to see if it matches your documents and try to catch any mistakes you might have made (which is easy to do -- start-ups often get this wrong).

  3. We'll help you fix your corporate documents (if minor changes), or refer you to an attorney if you have a big mess.


6)  Funding Document Customization

 

  1. We'll explain advantages of a funding agreement commonly used by Angel investors, the convertible note ("note").

  2. We'll help customize the note with your funding needs and specific circumstances (which should be reviewed by your attorney before closing your funding round).

  3. We'll include terms in the note that strive for a win-win for both you and your investors so that you both are more likely to feel treated fairly during negotiations.

  4. We'll inform you about the key terms in the agreement so you know how to explain to investors why they are important to you.

  5. We'll advise you if you should see an attorney before meeting with investors and make introductions if needed.
